Please read these Terms carefully before using our Services.
These terms and conditions (“Terms”) constitute a legally binding agreement between Coresphere100 Technologies Pvt. Ltd., an Indian private limited company incorporated under the Companies Act, 2013, with its registered office at No. 16026, 16th Floor, Tower Oakwood, Mahagun Mywoods, Greater Noida – 201306, Uttar Pradesh, India (“Jurisphere”) and you or the entity you represent (“Customer”, “you” or “your”). Where you have a separate written agreement with Jurisphere, including a master services agreement or any other executed order form or subscription agreement (collectively, a “Separate Agreement”), the terms of that Separate Agreement shall prevail over these Terms, to the extent of any conflict or inconsistency.
These Terms govern your use of our web application (app.jurisphere.ai), our mobile application, the Jurisphere Add-In for Microsoft Word and Microsoft Outlook (collectively, the “Platform”), and our website (jurisphere.ai) (collectively, the “Services”).
By using the Services, you confirm that you have read and agree to these Terms, our Privacy Policy, and any additional terms applicable to you under a Separate Agreement, all of which together form this “Agreement”. If you are accepting these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity to this Agreement and that such acceptance does not violate any applicable law or internal authorization requirements. If you do not agree to these Terms, you must discontinue use of the Services immediately. To terminate your subscription, you may contact us at support@jurisphere.ai.
By registering on the Platform and accessing the Services, you represent and warrant that:
- you are at least 18 years of age;
- you have the legal capacity to enter into a binding agreement;
- you have not been previously suspended or terminated from the Platform for a violation of these Terms; and
- you are not an employee or representative of an entity that is blacklisted, sanctioned, or prohibited from using the Services, including under applicable law.

1. Disclaimer and Limitations
You acknowledge and agree to the following:
Nature of the Platform and Services
The Platform and its contents are provided on an “as-is” and “as available” basis. All outputs, documents, and information generated through the Platform are intended solely as research aids and do not constitute legal advice. Nothing on the Platform creates or implies a lawyer-client relationship between you and Jurisphere.
AI-Generated Outputs
When you interact with the Platform, you are interacting with an artificial intelligence system and not a human. Given the probabilistic nature of AI and machine learning, outputs may contain errors, inaccuracies, or omissions, and may not accurately reflect real people, places, or facts. All outputs must be subject to human review, independent verification, and the exercise of your own professional judgment before being used or relied upon in any matter.
Professional Responsibility
Where you are an advocate or legal professional, you acknowledge that your use of the Platform does not in any way diminish or transfer your professional obligations under applicable laws, regulations, and professional conduct rules governing the legal profession in your jurisdiction. Your duty of competence, diligence, and independent judgment toward your clients remains solely yours. The Platform is intended to assist, not replace, your professional legal judgment. You are solely responsible for ensuring that any outputs you rely upon or incorporate into your work comply with applicable professional conduct rules, including obligations of confidentiality and conflicts of interest.
Data and Content Accuracy
Content available on the Platform may be sourced from public websites, including government databases, court websites, and other publicly available repositories of judgments, statutes, orders, and notifications. Jurisphere does not represent or warrant the completeness, accuracy, timeliness, or reliability of any such content. Jurisphere does not endorse any opinion, statement, or information displayed through the Platform, and any reliance you place on such content is at your sole risk.
No Warranties
To the fullest extent permitted by applicable law, Jurisphere disclaims all representations and warranties, express or implied, including without limitation:
- that the Platform or its contents are complete, accurate, or free from errors or omissions;
- that access to the Platform will be uninterrupted, timely, secure, or error-free; and
- that the Platform is fit for any particular purpose or will meet your specific requirements.
All implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.
Third-Party Content
The Platform may contain links to or content sourced from third-party websites and resources. Jurisphere does not control, endorse, or accept responsibility for any third-party content, and your access to such content is at your own risk.
Your Third-Party IP Obligations
You are responsible for ensuring that your use of any third-party copyrighted materials accessed through or in connection with the Platform complies with applicable intellectual property laws, including applicable fair use or fair dealing principles. Jurisphere does not authorise or condone any use of content that constitutes copyright infringement. If you are uncertain about the permissibility of a specific use, you are encouraged to seek independent legal advice.
Modifications to the Platform
Jurisphere reserves the right to alter, update, or discontinue any or all of its Services, including any part of the Platform or its contents at any time without prior notice.
2. License
License Grant
Subject to the terms and conditions of this Agreement, including payment of all applicable fees as set out in the Agreement, Jurisphere grants you and your authorized users a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services solely for your internal business purposes during the applicable subscription term.
Access Credentials and Seat Management
Each license is personal to the individual user to whom it is issued and may not be shared with another person, including within the same organization. Licenses may not be reassigned on a temporary, rotating, or otherwise recurring basis. You are responsible for all use of the Services under your account, including by your administrators and authorized users, and for ensuring that access credentials are kept secure. In the event of any suspected or confirmed unauthorized access, you must notify Jurisphere promptly.
3. Customer Content
Ownership of Customer Content
As between you and Jurisphere, you retain all right, title, and interest in and to all content, documents, queries, prompts, or other information uploaded to or processed through the Platform, by or on behalf of you, in the course of using the Services, including any outputs generated by the Platform in response to customer inputs (collectively, “Customer Content”). To the extent Jurisphere acquires any right or interest in any Customer Content by operation of law or otherwise, Jurisphere hereby assigns all such rights back to you with immediate effect.
License to Jurisphere
You grant Jurisphere an irrevocable, perpetual, worldwide, sub-licensable, transferrable, royalty-free license to access and process your Customer Content solely for the purposes of providing, operating, maintaining, improving, and developing the Services and the Company’s products. Notwithstanding anything to the contrary, Jurisphere does not use or access Customer Content for any purpose, including to train, fine-tune, or improve any AI model. Customer Content is held in memory only for the duration required to generate a response and is not retained beyond that purpose.
Your Responsibilities
You are responsible for the legality, accuracy, and integrity of your Customer Content, including ensuring that its submission to the Platform does not infringe the intellectual property or other rights of any third party and complies with all applicable laws and regulations.
4. Fees and Payment
Agreed Fees
The fees payable for access to the Services shall be as communicated by Jurisphere and accepted by you in writing, including by email. Such communication and acceptance shall constitute a binding agreement on fees between you and Jurisphere, and shall be governed by these Terms where no Separate Agreement exists between the parties.
Fee Revisions
Jurisphere reserves the right to revise the fees applicable to any renewal term by providing written notice to you at least thirty (30) days prior to the commencement of that renewal term. Continued use of the Services following the commencement of the renewal term shall constitute acceptance of the revised fees. If you do not accept the revised fees, you must notify Jurisphere before the renewal term begins and discontinue use of the Services at the end of the then-current term.
Fee Errors and Disputes
Jurisphere reserves the right to correct any error or inaccuracy in an invoice within thirty (30) days of the date on which that invoice was received by you, and shall issue a corrected invoice accordingly. You shall pay any additional amounts reflected in a corrected invoice within fifteen (15) days of receipt of the corrected invoice.
If you believe an invoice contains an error, you must notify Jurisphere in writing within thirty (30) days of the date of the disputed invoice, setting out the nature of the alleged error and the amount in dispute. Failure to raise a dispute within this period shall constitute your acceptance of the invoice as correct and binding. Undisputed amounts remain payable by the original due date. Amounts subject to a bona fide dispute shall be addressed in good faith by the parties, and any excess amounts found to have been charged shall be credited against your next invoice or refunded at Jurisphere’s discretion.
Payment
Fees shall become due and payable upon receipt of an invoice issued by Jurisphere. You shall make payment in full by the due date specified in the invoice.
Taxes
All fees are exclusive of Goods and Services Tax and any other applicable taxes, which shall be charged additionally at the prevailing rate and shall be payable by you.
Late Payment and Interest
If any invoice remains unpaid beyond its due date, Jurisphere reserves the right to charge interest on the overdue amount at the rate of 12% per annum, calculated from the due date until the date of actual payment. Such interest shall accrue monthly and shall be payable on demand.
Suspension for Non-Payment
If any amount remains unpaid after its due date, Jurisphere may, upon giving ten (10) days’ written notice to you, suspend access to the Services until all outstanding amounts, including any accrued interest, have been paid in full. Suspension of the Services shall not relieve you of your obligation to pay outstanding fees and shall not give rise to any claim against Jurisphere.
No Refunds
All fees paid are non-refundable. Upon termination or expiry of your subscription for any reason, you shall remain liable for all fees accrued and outstanding in respect of the subscription period up to the date of termination. You shall not be entitled to any pro-rata refund of fees paid for any unused portion of the subscription term.
Withholding Tax
If you are required under applicable law to deduct withholding tax or TDS from any fees payable to Jurisphere, you shall: (a) deduct only the minimum amount legally required and take all available steps to minimise such deduction; (b) promptly deposit the deducted amount with the relevant tax authority; and (c) provide Jurisphere with a digitally signed TDS certificate (Form 16A) or equivalent documentation within the time prescribed under law.
5. Prohibited Uses
You may only use the Services for lawful purposes and in compliance with all applicable laws and regulations. By accessing or using the Services, you agree not to do the following:
Platform and Service Integrity
- interfere with, damage, or disrupt the Services or any connected systems, including by introducing malicious code, launching denial-of-service attacks, or using automated tools to scrape or extract content outside of functionality expressly provided by Jurisphere; or
- attempt to gain unauthorized access to any part of the Services, remove or obscure any proprietary notices on the Platform, or take any other action that undermines the security or integrity of the Services.
Competitive and Commercial Restrictions
- sublicense, sell, resell, transfer, or otherwise make the Services available to any third party outside the scope of these Terms;
- use the Services to develop, build, or support a product or service that competes with the Services; or
- attempt to reverse engineer, decompile, or derive the source code or underlying models of the Services, or modify or create derivative works based on the Services.
Content Restrictions
You must not submit, upload, or use the Services to generate or distribute content that:
- is unlawful, defamatory, obscene, threatening, harassing, or otherwise harmful;
- infringes or misappropriates the intellectual property or privacy rights of any third party;
- constitutes misinformation or content that is knowingly false or misleading and likely to be perceived as fact;
- promotes enmity, discrimination, or violence on the basis of religion, caste, gender, or any other protected ground;
- threatens the sovereignty, integrity, or security of any state, or is prejudicial to public order;
- threatens the integrity of any electoral process; or
- constitutes a deepfake or other synthetic media intended to deceive or mislead.
Data and Privacy Restrictions
The Services are not designed or intended for the submission, storage, or processing of Sensitive Personal Data or Information (“SPDI”) as defined under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”). Jurisphere does not knowingly collect or process SPDI through the Services.
By using the Services, you represent and warrant that you will not submit or transmit any SPDI through the Services. SPDI includes, without limitation:
- passwords;
- financial information such as bank account, credit card, debit card, or other payment instrument details;
- physical, physiological, or mental health information;
- sexual orientation;
- medical records and history; or
- biometric information.
Restrictions on Use of AI Outputs
You must not use outputs generated by the Services, whether alone or in combination with other tools, to:
- provide legal advice to any person without prior review and validation by a qualified legal professional; or
- make automated decisions, or be a substantial factor in making decisions, that have a material or detrimental impact on any individual’s rights or interests without meaningful human oversight and review.
Impersonation and Misrepresentation
- impersonate Jurisphere, any Jurisphere employee, any other user, or any third party; or
- misrepresent your identity, authority, or affiliation in connection with your use of the Services.
Sanctioned Jurisdictions
You must not access or use the Services from any jurisdiction where such access is prohibited under applicable law, or on behalf of any person or entity subject to sanctions under applicable law.
Jurisphere reserves the right to suspend or terminate your access to the Services, without notice, if you violate any of the above or if Jurisphere has reasonable grounds to suspect such a violation.
6. Intellectual Property
Jurisphere’s Intellectual Property
As between you and Jurisphere, all right, title, and interest in and to the Platform and Services, including the underlying software, code, algorithms, models, design, structure, user interface, visual elements, trademarks, logos, and service marks displayed on the Platform, are owned by or licensed to Jurisphere and are protected under applicable intellectual property laws, including copyright, trademark, and patent law. Nothing in these Terms transfers any ownership of Jurisphere’s intellectual property to you, and no rights are granted to you other than those expressly set out in these Terms.
You may not use Jurisphere’s name, logo, trademarks, or any other proprietary marks without Jurisphere’s prior written consent. You are also prohibited from selling, reproducing, or commercially exploiting Jurisphere’s intellectual property.
Your Content
Jurisphere does not claim ownership of any Customer Content associated with your use of the Services. Ownership of Customer Content is governed by Section 3 of these Terms.
Third-Party Intellectual Property
Jurisphere respects the intellectual property rights of third parties and expects you to do the same. You must not use the Services in any manner that infringes, misappropriates, or otherwise violates the intellectual property rights of any third party. Where content available on the Platform is owned by or licensed from third parties, such content remains subject to the intellectual property rights of the respective owners.
Copyright Infringement Claims
If you are a copyright owner, or are authorized to act on behalf of one, and you believe that any content on the Platform infringes your copyright, please send a written notice to Jurisphere at contact@jurisphere.ai with the following information:
- a description of the copyrighted work you claim has been infringed;
- a description of where the allegedly infringing content is located on the Platform;
- your contact details, including name, address, and email; and
- a statement that you have a good faith belief that the use of the content is not authorized by the copyright owner, its agent, or applicable law.
Jurisphere will review all notices received and take such action as it deems appropriate in accordance with applicable law.
7. Confidentiality
Definition of Confidential Information
“Confidential Information” means any non-public information disclosed by Jurisphere to you in connection with these Terms, including information relating to the Platform, the Services, pricing, technology, business operations, and any other information that is designated as confidential or that ought reasonably to be understood as confidential given the nature of the information and the circumstances of disclosure.
Confidentiality Obligation
You shall: (a) keep all Confidential Information strictly confidential and not disclose it to any third party without Jurisphere’s prior written consent; (b) use Confidential Information solely for the purpose of using the Services in accordance with these Terms; and (c) take all reasonable steps to protect Confidential Information from unauthorized disclosure or use. You may disclose Confidential Information to your employees and authorized users who have a genuine need to know it for the purpose of using the Services, provided that such persons are bound by obligations of confidentiality no less protective than those set out in this section.
8. Indemnification and Limitation of Liability
Customer shall defend, indemnify, and hold harmless Jurisphere and its officers, directors, employees, agents, and contractors from and against any third-party claims, damages, losses, penalties, and costs, including reasonable legal fees, arising out of or relating to:
- your breach of the Agreement, which includes these Terms, the Privacy Policy, or any other terms, conditions, or agreement governing your access to the Services;
- your violation of any applicable law or regulation;
- your Customer Content, including any claim that such content infringes or misappropriates the intellectual property or other rights of any third party; or
- your unauthorized, improper, or unlawful use of the Services, including by your authorized users.
This indemnification obligation shall survive the expiry or termination of these Terms.
Exclusion of Consequential Damages
To the fullest extent permitted by applicable law, Jurisphere shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, whether arising out of contract, tort, or any other theory of liability, even if Jurisphere has been advised of the possibility of such damages and regardless of whether such damages were foreseeable.
Aggregate Liability Cap
Jurisphere’s total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to Jurisphere in the twelve months immediately preceding the event giving rise to the claim.
9. Term and Termination
Term
These Terms shall remain in force from the date you first access or use the Services until terminated in accordance with this section or as specified in the Separate Agreement.
Termination by Jurisphere
Jurisphere may suspend or terminate your access to the Services at any time, at its sole discretion, with or without cause, upon written notice to you. Without limiting the foregoing, Jurisphere may terminate with immediate effect and without prior notice if:
- you breach any material obligation under these Terms and, where the breach is capable of remedy, fail to remedy it as per instructions from Jurisphere;
- you violate any applicable law or regulation in connection with your use of the Services; or
- Jurisphere reasonably believes that continued access poses a risk to the security, integrity, or reputation of the Services or to any third party.
Effect of Termination
Upon expiry or termination of these Terms for any reason:
- all rights and licenses granted to you under these Terms shall immediately terminate;
- you shall promptly discontinue all use of the Services;
- all outstanding fees and amounts owed by you shall become immediately due and payable; and
- you shall permanently destroy all Confidential Information of Jurisphere in your possession or control, including all copies, reproductions, summaries, notes, and derivative materials, whether in physical or electronic form, within fifteen (15) days.
Survival
Termination or expiry of these Terms shall not affect any rights or obligations that have accrued prior to the date of termination. The following sections shall survive termination or expiry: Intellectual Property, Confidentiality, Indemnification and Limitation of Liability, Governing Law and Dispute Resolution, and any other provisions that by their nature are intended to survive.
10. Communications and Solicitation Policy
Jurisphere may send you transactional and service-related communications that are necessary for the operation and administration of your account and the Services. These communications are not subject to opt-out and form part of the Services you have subscribed to.
In addition, Jurisphere may send you marketing, promotional and informational communications, including information about new features, product updates, events, and offers, only where you have explicitly opted in to receive such communications or where Jurisphere is otherwise permitted to do so under applicable law.
You may withdraw your consent to receive marketing communications at any time by updating your preferences in your account settings or by using the unsubscribe link in any marketing email. Withdrawal of consent will not affect the lawfulness of any communications sent prior to such withdrawal, and will not affect your continued access to or use of the Services.
Jurisphere will handle all Personal Data collected in connection with communications in accordance with the Privacy Policy.
11. General Provisions
Force Majeure
Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, floods, epidemics, pandemics, acts of terrorism, war or military hostilities, labor stoppages, or failure of third-party infrastructure or carriers. The affected party shall promptly notify the other party of the force majeure event and its expected duration. Any affected timeline or delivery obligation shall be extended by the duration of the event. For the avoidance of doubt, a force majeure event shall not excuse or defer the obligation to pay any outstanding fees.
Notices
Any notice required or permitted under these Terms shall be sent by Jurisphere to you by general notification on the Platform or to your registered email address. You may send formal legal notices to Jurisphere at contact@jurisphere.ai or by registered post to Jurisphere’s address as updated from time to time. For support queries, you may write to support@jurisphere.ai. Notice shall be deemed delivered at the time of successful transmission in the case of email, and upon confirmed receipt in the case of registered post.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms, subject to the arbitration provisions below.
In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or the use of the Platform, the parties shall first attempt to resolve the matter amicably through mutual discussions. Either party may initiate this process by sending a written notice to the other party. If the dispute is not resolved within thirty (30) days of the date of receipt of such notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator appointed by the parties. The seat and venue of arbitration shall be Mumbai, Maharashtra, and the proceedings shall be conducted in English. The costs of arbitration shall be borne by the respective parties, and the award of the arbitrator shall be final and binding on both parties.
Successors and Assigns
These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
Entire Agreement
These Terms, together with the Privacy Policy and the Separate Agreement, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior agreements, representations, and understandings, whether written or oral, relating to the same subject matter.
Waiver
No failure or delay by either party in exercising any right or enforcing any provision of these Terms shall constitute a waiver of that right or provision. A waiver shall only be effective if made in writing and shall apply solely to the specific instance for which it is given.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder to any third party without Jurisphere’s prior written consent. Jurisphere may freely assign or transfer these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets, without your consent. These Terms shall be binding on any permitted assigns.
Independent Contractors
The parties are independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the parties. Neither party has the authority to bind the other in contract or otherwise.
12. Amendments to These Terms
Jurisphere reserves the right to modify or update these Terms at any time at its sole discretion. Where changes are material, Jurisphere will use reasonable efforts to provide prior notice, including by notification on the Platform or to your registered email address. Your continued access to or use of the Services after any such changes take effect shall constitute your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services.
